Why it matters: a buyer can have contractual rights but lack the technical ingredients to run elsewhere.
A strong answer should cover: datasets and transformations, base checkpoint, adapters, prompts, evaluation harness, dependencies, serving code, documentation and a migration rehearsal. Have counsel review exact licences; a specific model agreement is more useful than a generic claim of openness.
Follow-up: “Which asset could we not transfer, and what would replacement cost?” Identify uncertainty explicitly, with the party responsible for resolving it.
